1. Parties
This Statement of Work (“SoW”) is issued under and forms part of the Client Engagement Agreement between FINLOG E&P Consultants (“Consultant”) and [Client Legal Name] (“Client”), located at [Client Address].

3. Background & Objectives
The Client operates in the upstream / offshore / logistics segment and seeks independent advisory support to [reduce drilling & offshore logistics cost / strengthen operational finance / optimise marine, aviation and shipping contracts / prepare an FDP review / structure a tender]. The engagement objective is to deliver a defensible, board-ready recommendation with quantified impact.
4. Scope of Services
The Consultant will provide the following Services during this SoW:
- Diagnostic review of current cost drivers, contracts, and operating data (rig day-rates, vessel utilisation, helicopter hours, fuel, mob/demob, standby, weather downtime, LD/bonus regimes).
- Benchmarking against comparable Indian and international operators and against relevant ONGC / OIL / private-operator tender norms.
- Financial & tax modelling including GST, TDS, customs, and cabotage implications where relevant.
- Tendering & contract structuring — SoR/BEC/BQC drafting support, evaluation matrices, negotiation strategy, and risk-allocation review for OSVs, PSVs, AHTS, MSVs, FCBs, and helicopter contracts.
- Recommendations report with quantified savings, implementation roadmap, and risk register.
- Executive review with the Client’s leadership team.
Out-of-scope items include statutory audit, legal opinions, court representation, and any activity requiring a licensed intermediary — these will be referred to appropriate professionals.
5. Deliverables
- D1 — Diagnostic Memo (PDF, ~15 pages) with baseline, gaps, and quick-win list.
- D2 — Financial Model (Excel) with sensitivities on utilisation, fuel, day-rate, and tax regime.
- D3 — Contract / Tender Pack (Word + Excel) — clause library, evaluation matrix, negotiation playbook (where in scope).
- D4 — Final Recommendations Report (PDF) with implementation roadmap and quantified impact.
- D5 — Executive Readout (deck + 90-minute session).
6. Timeline & Milestones
Indicative for a Focused Engagement; adjusted per SoW:
- Week 1: Kick-off, data request list, stakeholder interviews scheduled.
- Weeks 2–3: Data review, benchmarking, D1 Diagnostic Memo issued.
- Weeks 4–6: Financial & tax modelling; contract / tender pack drafted (D2, D3).
- Weeks 7–8: Final Report (D4) and Executive Readout (D5).
7. Fees & Rates (Indicative)
The following rates are drawn from our published rate card. Actual fees for this SoW are stated in Section 8.

All fees are exclusive of GST and other applicable statutory levies. TDS deductible per the Income-tax Act, 1961.

- Expenses: Reasonable travel, accommodation, and offshore mobilisation reimbursed at actuals with prior Client approval.
9. Client Responsibilities
- Nominate a single point of contact and approver.
- Provide timely access to data, contracts, operating reports, and relevant personnel.
- Approve deliverables or provide consolidated feedback within five (5) business days.
- Ensure site access, HSE inductions, and PPE where visits are required.
10. Assumptions & Dependencies
- Data provided is reasonably accurate and complete.
- Key stakeholders are available for interviews within the first two weeks.
- Timelines assume no material change in scope; change orders will be issued for additions.
11. Confidentiality, IP, and Liability
Confidentiality, intellectual property, limitation of liability, data protection, termination, and dispute-resolution provisions are governed by the executed Client Engagement Agreement. In the event of any conflict between this SoW and the Agreement, the Agreement shall prevail except where this SoW expressly amends a specific clause.
